Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Magnito Studio ("Bandee", "we", "us") governing your use of the Bandee mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Bandee does
Bandee helps worship teams and musicians study songs: you provide a recording, and the Service separates it into instrument stems, detects its structure (sections, key, tempo, time signature), transcribes lyrics, and presents a practice view you can transpose, loop, and mark up. Processing runs on our cloud servers.
2. Your account
- You must provide accurate information and are responsible for activity under your account.
- You must be old enough to form a binding contract in your jurisdiction (and at least 13, or the minimum age where you live).
- Keep your credentials secure. Tell us promptly of any unauthorized use.
3. Your content and the rights you need
You are responsible for the audio you upload. You may only process recordings that you own or have the necessary rights, licenses, or permissions to use. You retain ownership of your recordings and of the edits you make (section names, colors, lyric corrections, and similar).
You grant us a limited license to store and process your recordings solely to provide the Service to you and to the private teams you choose to share with. We do not sell your recordings, and we do not make them public or searchable by other users.
4. Sharing and teams
Bandee lets you form private, invite-only teams and setlists to rehearse together. Content shared this way is visible only to people you or a team admin deliberately add. Bandee is not a public catalog or a distribution platform, and you agree not to use it to distribute recordings you do not have the right to share.
5. Copyright and takedowns (DMCA)
We respect intellectual-property rights and expect you to do the same. If you believe content on the Service infringes your copyright, send a notice to our designated agent at dmca@bandee.app including the information required by applicable law (identification of the work, the material, your contact details, a good-faith statement, and a statement under penalty of perjury). We will act on valid notices, which may include removing content and terminating repeat infringers.
6. Subscriptions, minutes, and billing
- A free Bandee account includes a monthly allotment of analysis minutes and room for a limited number of songs. Analyzing new songs consumes minutes; playing, practicing, and editing do not.
- Bandee Plus, offered as a monthly or yearly auto-renewable subscription, raises that monthly allotment and keeps every song you chart. Prices are shown in the app in your local currency before you purchase.
- Subscriptions are billed through your Apple App Store or Google Play account and auto-renew until canceled. Manage or cancel in your store account settings; cancellation takes effect at the end of the current period.
- Except where required by law or store policy, payments are non-refundable. Store purchases are also governed by the applicable store's terms.
- We may change plan features or prices prospectively; material changes will be communicated before they take effect.
7. Acceptable use
You agree not to: upload content you lack the rights to; attempt to extract, redistribute, or resell processed stems outside your private teams; reverse engineer, probe, or disrupt the Service; abuse the free allotment through automated or duplicate accounts; or use the Service to infringe any right or break any law.
8. Availability and changes
We may modify, suspend, or discontinue parts of the Service, and we may update these Terms. If we make material changes we will provide notice (for example, in the app). Continued use after changes take effect means you accept the updated Terms.
9. Disclaimers
The Service is provided "as is" and "as available." Automated analysis (stems, key, tempo, sections, lyrics) is a best-effort estimate and may contain errors; it is a study aid, not a definitive transcription. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
10. Limitation of liability
To the fullest extent permitted by law, Bandee and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data, revenue, or profits. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US$50.
11. Termination
You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you violate these Terms. Some provisions (ownership, disclaimers, limitation of liability) survive termination.
12. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of Rizal, Philippines, unless applicable law requires otherwise.
